Terms & Conditions

These Terms and Conditions are a legal agreement between you (“the Client”) and Rebecca Smith (“we”, “us”). By booking our services, you agree to be bound by these terms.

Definitions

For the purposes of this agreement, “Rebecca Smith” trades as a sole trader. “The Client” is the party commissioning the services of voiceover artist, Rebecca Hellebore-Bastard / yorkshire-voice.co.uk, and “Client” shall, where the context so admits, include its respective assignees, sub-licensees and successors in title.

Introduction

These Terms and Conditions are a legal agreement between you, the client, and Rebecca Smith. It governs your use of our services.

By booking our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. The booking process can be initiated by an email confirmation upon the agreement of the provided quotation.

If you disagree with these terms and conditions or any part of these terms and conditions, you must not use our services.

The terms and conditions and all content on https://yorkshire-voice.co.uk are copyrighted and any duplication is an infringement of said copyright.

Voiceover Services

Our voiceover services are comprehensive and designed to provide a complete solution. The Basic Studio Fee (BSF) includes:

  • Studio Facilities and Personnel: Inclusive studio facilities hire, equipment and personnel.
  • Pre-Recording Preparation: Script review, direction and communication to align on style and requirements.
  • Audio Editing: Basic editing for broadcast-quality delivery (extra services like file-splitting/sync-to-picture by quotation).
  • Delivery of Audio Files: Files supplied via WeTransfer.

Additional services beyond the BSF may incur extra charges, agreed in the quotation.

Intellectual Property Rights and License of Creative Property

Copyright remains with Rebecca Smith. We hold the intellectual property rights for all material provided as part of our services unless explicitly stated otherwise.

Upon payment, the Client is granted a license to use the material as agreed. Ownership remains with us; usage is within the agreed terms (see Usage Rights).

Unauthorised use may lead to legal action. Unless prohibited by NDA or similar, the Client agrees we may use final works for promotional purposes (e.g., embedded on our website or social media).

Usage Rights

  • Permitted Use: Use of recordings for the specific project/purposes agreed in writing, within the agreed territory and purpose, for 12 months unless otherwise specified.
  • Extending/Expanding: Additional usage (mediums, regions, durations) requires prior negotiation and agreement.
  • Reputation: Recordings must not be used in ways that harm our reputation. Full rights start after payment in full.
  • No copying or AI use: You may not copy, clone, or use any recordings in AI systems without written permission.
  • Changes in ownership: Rights are not transferable to other companies without prior agreement and fees.

Recording

  1. Final Script: Provide approved final script before contracting.
  2. Word Count: Provide word count; this affects timeline and quotation.
  3. Pronunciation Guide: Supply guides for uncommon names/terms.
  4. Non-Directed Session: We may supply a sample for approval; stylistic references welcomed.
  5. Sync-to-Picture (Optional): Available by quotation depending on complexity/time.
  6. Recording Options:
    • Live directed (remote): Source Connect, Cleanfeed, SessionLink (recorded your end).
    • Live directed (local): Direction remote; audio recorded locally by us.
    • Non-directed: We record per your brief without real-time direction.

Service Provision

Scope, timeline, and costs are agreed by email in a proposal/quote. Services may include script reading, recording, editing, and delivery in required formats. Changes after agreement may incur additional charges (e.g., extra recording/editing). We will confirm changes and costs for approval.

Payment

Payment terms are agreed by email. For first bookings, we may require full payment upfront before delivery. Currency may be GBP, USD, or EUR as quoted. Provide any invoice reference before invoicing.

If unpaid after one calendar month, one reminder will be sent. Failure to pay after the reminder places you in default; we may (i) cancel/withdraw usage license, (ii) add administrative/reminder/collection costs, and (iii) pass the claim for collection. Statutory commercial interest and all recovery costs are payable.

Late payments may pause or cancel work.

Delivery

Standard delivery is via WeTransfer. Default format is 24-bit/48kHz WAV. Alternative formats available if requested at booking. Up to 10 split files are included in the BSF; more than 10 may incur an additional charge.

Revisions (Pickups)

Request revisions within 14 days of delivery.

Our mistakes are corrected at no charge. Script changes up to 20% of original text can be recorded at no extra cost.

Outside this scope, reasonable charges may apply (quoted in advance). Full re-records, if required, are charged at 50% of the original BSF.

Cancellation

Notify us in writing as soon as possible to cancel. Work stops upon receipt.

A cancellation fee may apply based on work completed and costs incurred. We’ll provide an itemised account. Pre-payments are non-refundable; if the fee exceeds payments made, the difference is payable.

Limitations of Liability

Our total liability is limited to the amount paid for our services. We are not liable for indirect or consequential losses (including loss of profit, contracts, savings, business, opportunity, or reputation). This does not limit liability where it would be unlawful to do so.

Governing Law

These Terms and any disputes (including non-contractual) are governed by the laws of the United Kingdom. The courts of the United Kingdom have exclusive jurisdiction.

Force Majeure

Neither party is liable for delays/failures due to events beyond reasonable control, including: Acts of God, war/terrorism/civil unrest, government actions, strikes, power/internet outages, or severe illness/incapacitation.

  1. Promptly notify the other party of the event.
  2. Use reasonable efforts to mitigate and resume performance.

If such events last more than 30 days, parties may discuss alternatives or terminate without further liability.

Changes to Terms and Conditions

We may modify these Terms at any time. Changes will be posted on our website and take effect immediately upon posting.

By continuing to use our services after changes are posted, you accept the updated Terms. We may also notify by email in some cases.
